Terms of Service

Welcome to MedProp. Please read these Terms of Service carefully before using our platform. By accessing or using any part of MedProp, you agree to be bound by these terms. If you do not agree, you may not use the platform.

1. Acceptance of Terms

By registering for an account, submitting a listing, or using any feature of the MedProp platform, you confirm that you have read, understood, and agree to these Terms of Service, along with our Privacy Policy.

These terms constitute a legally binding agreement between you and MedProp. If you are using the platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Description of Services

MedProp is a confidential investment platform operating in the UAE that facilitates connections between verified healthcare property owners ("Sellers") and investors ("Buyers") in the UAE healthcare sector.

Our services include, but are not limited to:

  • Hosting and displaying healthcare facility listings for investment or acquisition.
  • Facilitating the submission and review of Buyer interest and viewing requests.
  • Coordinating viewing appointments between Buyers and Sellers through our Admin team.
  • Secure storage and management of uploaded documents, including LOIs, NDAs, and proof of funds.
  • Maintaining anonymity between Buyers and Sellers until appropriate stages of engagement.

MedProp acts as an intermediary and facilitation platform. We do not provide financial, legal, or investment advice. All decisions are made independently by the parties involved.

3. Eligibility & Account Registration

To access certain features of MedProp, you must register for an account by providing your full name, a valid email address, a secure password, and selecting your role as either a Buyer (Investor) or Seller (Property Owner).

By registering, you confirm that:

  • You are at least 18 years of age.
  • All information you provide is accurate, current, and complete.
  • You will maintain the accuracy of your account information.
  • You are solely responsible for all activity that occurs under your account.
  • You will not share your login credentials with any third party.

MedProp reserves the right to suspend or terminate any account where fraudulent, inaccurate, or misleading information has been provided.

4. Buyer / Investor Obligations

As a Buyer on MedProp, you agree to:

  • Submit only genuine, truthful documents including proof of funds, Letters of Intent (LOIs), and Non-Disclosure Agreements (NDAs).
  • Use listing information solely for the purpose of evaluating a potential investment or acquisition.
  • Not attempt to contact Sellers directly or bypass the MedProp facilitation process.
  • Attend confirmed viewing appointments or provide reasonable advance notice of cancellation.
  • Maintain strict confidentiality of all information received about any listed facility.

Favouriting a listing or submitting a "Ready to Visit" request does not constitute a binding offer to purchase or invest. It signals intent and initiates the Admin-managed coordination process.

5. Seller / Property Owner Obligations

As a Seller on MedProp, you agree to:

  • Provide accurate and truthful information about your healthcare facility, including its type, location, ownership status, and asking price or investment range.
  • Upload valid supporting documentation, including trade licenses, certifications, and ownership proof.
  • Respond to viewing appointment requests in a timely manner.
  • Not attempt to identify, contact, or engage with Buyers outside of the MedProp platform process.
  • Notify MedProp promptly if a listed facility is no longer available for sale or investment.

Listing approval is at the sole discretion of MedProp's Admin team. Submission of a listing does not guarantee approval or placement on the public platform.

6. Admin Role & Platform Control

MedProp's Admin team serves as the central coordinator of all platform activity. Admin has full visibility into Buyer and Seller profiles, submitted documents, listing details, and appointment requests. This access is strictly for the purpose of operating and managing the platform.

Admin reserves the right to:

  • Approve or reject any listing at their discretion.
  • Remove, edit, or delist any property at any time.
  • Suspend or terminate user accounts for violations of these terms.
  • Coordinate, reschedule, or cancel viewing appointments.
  • Request additional verification documents from any user.

7. Viewing Requests & Appointments

When a Buyer submits a "Ready to Visit" request, this initiates a multi-step Admin-managed coordination process. MedProp's Admin team will review the submitted documentation, verify eligibility, and propose an appointment date and time to both parties.

Appointments are confirmed only when both parties acknowledge via their respective dashboards. MedProp is not liable for any losses or inconveniences arising from rescheduled, cancelled, or missed appointments.

Buyer and Seller identities remain confidential to one another throughout this process unless both parties reach a stage where mutual disclosure is necessary and consented to.

8. Document Uploads & Confidentiality

All documents uploaded to MedProp — including proof of funds, Letters of Intent, NDAs, trade licenses, and ownership certificates — are encrypted and stored securely.

By uploading documents, you confirm that:

  • The documents are authentic and belong to you or your entity.
  • You have the legal right to share them with MedProp.
  • You consent to MedProp's Admin team reviewing them for platform purposes.

MedProp will not share uploaded documents with any third party without your consent, except where required by UAE law or regulation.

9. Prohibited Conduct

You agree not to:

  • Upload false, misleading, or fraudulent documents or information.
  • Attempt to circumvent the Admin-mediated process to contact the opposing party directly.
  • Use any listing information for purposes other than evaluating a healthcare investment.
  • Reverse-engineer, scrape, or copy any content or data from the MedProp platform.
  • Introduce malicious code, viruses, or harmful content of any kind.
  • Impersonate another user, entity, or MedProp staff member.
  • Use the platform in violation of any applicable UAE or international law.

Violations may result in immediate account suspension, removal of listings, and legal action where appropriate.

10. Intellectual Property

All content on the MedProp platform — including text, logos, graphics, interface design, and software — is the exclusive property of MedProp or its licensors and is protected under applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any MedProp content without prior written consent. By submitting listings or content to MedProp, you grant MedProp a non-exclusive, royalty-free licence to display and use that content solely for operating the platform.

11. Limitation of Liability

MedProp provides its platform on an "as is" and "as available" basis. To the fullest extent permitted by UAE law, MedProp disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

MedProp shall not be liable for:

  • Any financial loss arising from a transaction or investment facilitated through the platform.
  • The accuracy or completeness of any listing or document submitted by users.
  • Any indirect, incidental, or consequential damages arising from use of the platform.
  • Disruptions, downtime, or data loss due to technical failures beyond our reasonable control.

Our total liability in any matter arising from these terms shall not exceed the total fees paid by you to MedProp in the preceding 12 months.

12. Termination

You may close your account at any time by contacting MedProp support. MedProp reserves the right to suspend or permanently terminate your account, with or without notice, for any breach of these Terms of Service or conduct deemed harmful to the platform or its users.

Upon termination, your right to access the platform ceases immediately. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

14. Changes to These Terms

MedProp reserves the right to update or modify these Terms of Service at any time. When we do, we will revise the "Last updated" date at the top of this page and, where appropriate, notify users via their dashboard or registered email address.

Your continued use of the platform following any changes constitutes acceptance of the revised terms. We encourage you to review this page periodically.
